Vendor Terms

Version 1.0Last updated October 15, 2026

Draft, pending legal review. This document is a draft and is not yet in force. The counsel-approved version becomes version 1.0 and takes effect when it is published.

These vendor terms apply when you claim a company on AEC Integrations (the "service") and when you use the vendor portal for it. The service is operated by The WBS Project (the "operator", "we", "us"). These terms sit under our Terms of Service. Everything in the Terms of Service still applies to you. Where these terms say more about vendors, these terms apply. The Managed plan agreement covers buying and using Managed licenses.

Who "you" means

"You" means both the person who claims a company and the company itself. The person who ticks the box accepts these terms for themselves and on behalf of the company. If you do not have the authority to bind the company, you are personally bound by these terms and you may not claim.

A "company" is a vendor or connector vendor listed on the service. A "seat" is one person's access to a company's vendor account. A "product" is a software product listed under a company. A plan belongs to a product, not to a company. "Free" is the plan every product starts on and costs nothing. "Managed" is the paid plan for a product, sold as licenses under the Managed plan agreement. What each plan includes is described at Plans.

Accepting these terms

The claim form has a required box that reads: "I represent this company and accept the vendor terms." Ticking it is how you accept these terms.

When you claim, you do not have a seat yet. So we record your acceptance against you as the claimant: your email address and your claim request. We also record the time, the version of these terms, and your IP address and browser. Once we approve the claim, the same acceptance is recorded against your seat.

We keep the acceptance record for as long as the company has a vendor account, and after that for as long as we need it as evidence. It is kept even if you later ask us to delete your account. Owner seats can see their company's acceptance records, without the IP address and browser.

Who may claim

A claim is on a company, never on a single product. You may claim a company only if you work for it or are authorized to act for it. Use your work email address.

We check each claim before we approve it. We may look at your email domain, your LinkedIn profile, the company's existing seats and any competing claims. We may ask you for more information. We may decline a claim for any reason and we do not have to say why. If the company already has seats, its owners decide whether to accept you. We step in if they have not answered within 7 days.

Claiming a company costs nothing. Every approved claim starts all of the company's products on the Free plan. Plans are per product, not per company. The first approved claimant for a company gets an owner seat.

Truthfulness

Everything you tell us must be true and not misleading. That covers your claim, your company and product details, and anything you publish through the portal. Keep it current. If something you published becomes wrong, correct it.

Do not claim a company you do not represent. Do not misstate your role or your authority. The acceptable use rules in our Terms of Service also apply. If you misrepresent yourself or your company, we may decline or end your claim, end any licenses, and keep or revoke seats.

Your content and our license to publish it

You keep ownership of what you submit through the portal. Our Terms of Service grant us a license to host, moderate, reproduce, adapt and display content you submit. That license covers your portal content too. It lasts for as long as we operate the service, including after your seats end, because the listing stays public.

You confirm that you have the right to submit what you submit. That includes logos, product names, screenshots and text. You confirm that it does not infringe anyone's intellectual property, breach a confidentiality obligation, or break any law.

You give us permission to show your company name, product names and logos on the service to identify your company and products. We use them only for identification and to say that the listing is claimed. We claim no ownership of them. The Terms of Service say the same about trademarks on the service.

Do not submit anything confidential. The portal is for information you want published.

If you give us a suggestion about the service, we may use it without owing you anything.

We may edit or remove content

Our Terms of Service let us add, edit, correct, reclassify or remove any listing or content. That right covers content you submit through the portal. Claiming a company does not take it away. How we handle corrections to a listing is set out in our Listing Accuracy Policy.

We may change, add or withdraw portal features at any time. We may suspend the portal for maintenance or for security. We do not promise that the portal is available at all times.

Reviews of your products

You may not write, buy, solicit in exchange for anything of value, or otherwise arrange reviews of your own products or a competitor's products. You may not ask a reviewer to change or remove a review, and you may not take any action against a reviewer because of a review. Our Review Guidelines say how reviews are moderated and how to report one.

If the portal lets you reply to a review, your reply is content you submit. We moderate it before it is published and we may decline or remove it.

Claimed is not endorsed

A claimed company, and any badge or label that says a listing is claimed or confirmed by the vendor, means only that we checked a claim and approved it. It is not our endorsement of your company or products and does not mean we verified anything else you published. We remain an independent directory. We list your competitors, and we rank listings by algorithm. Nothing in these terms gives you exclusivity or stops us from listing anyone.

Plans never affect ranking or reviews

No plan changes where you rank or appear, or whether a review is published. That holds on Free, on Managed, and for anything else you pay us for. How ranking works explains how listings are ordered.

When Managed ends on a product

Some fields can only be edited while a product is on Managed. When Managed ends on that product, those fields are handed back to us. The text you wrote stays live. You lose the right to edit those fields. We may update them again, including from our own research. Nothing reverts and nothing is deleted.

The Managed plan agreement says when Managed ends.

Seats and revocation

A seat is one person's access to a company's vendor account. An owner seat may also buy licenses, assign them, invite colleagues and change the billing email. A company may have several owners.

You sign in with a one-time link sent to your email address. Keep that mailbox secure. Everything done from your seat is treated as done by you and by the company. Tell us at once if you think someone else has used your seat.

Owners are responsible for the people they invite. When a person leaves the company or should no longer have access, an owner must remove their seat. The company stays bound by what that person did from the seat until it is removed.

We may revoke a seat, for example for abuse or misrepresentation. Revoking a seat changes nothing in billing. The company's licenses, their assignments and their term dates stay as they were.

If we ban a company's vendor account, any paid subscription is canceled at the end of its current term. There is no refund.

Ending your claim

You may give up a claim at any time by emailing us. We then remove the company's seats. The listing stays public, because listings are compiled from public information, and the content you published stays live under the license above. Open licenses are handled under the Managed plan agreement.

We may end a company's vendor account, with or without notice, if you break these terms or the Terms of Service, if we reasonably believe the claim was not genuine, or if we stop operating the vendor portal.

The sections on your content and our license, truthfulness, indemnity, disputes, and the general terms continue to apply after your claim ends.

Personal data

The claim form asks for your name, role, work email address, an optional LinkedIn profile and an optional note. We use them to check your claim, to run your seat, and to contact you about your claim, your seats and your licenses. We record your IP address and browser with your acceptance of these terms. Our Privacy Policy says how we handle personal data and what rights you have.

Information we show you in the portal about how your listings perform is for your company's internal use. Do not publish it or pass it to anyone outside your company without our written permission.

Disclaimers and liability

The portal and the service are provided "as is". The disclaimers and limits on liability in our Terms of Service apply to your use of the portal. Our total liability to you under these terms, other than under the Managed plan agreement, is limited to one hundred US dollars. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Indemnity

You will defend us and pay any loss, cost or claim, including reasonable legal fees, that arises from content you submit through the portal, from a claim or statement that was not true, from your breach of these terms, or from your use of the portal in breach of law. We will tell you promptly about any such claim and let you control the defense, so long as you do not settle in a way that admits fault on our part without our written consent.

Disputes

If you have a problem with us, contact us first at the address below. Most issues are resolved this way.

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state courts located in Martin County, Florida, and the United States District Court for the Southern District of Florida have exclusive jurisdiction over any dispute arising from these terms or the service, and you consent to that jurisdiction and venue, except where applicable consumer law provides otherwise.

Changes to these terms

We may update these terms. Each version is numbered and dated at the top of this page. We record which version you accepted.

When we change these terms, we email every seat at the company at least 30 days before the new version takes effect, unless the change is required by law or fixes an error, in which case it may take effect sooner. If you keep using the portal after the effective date, the new version applies to you. If you do not agree, give up your claim before that date.

General terms

These terms, the Terms of Service and, where you hold licenses, the Managed plan agreement are the whole agreement between you and us about the vendor portal. If they conflict, the Managed plan agreement wins for licenses and billing, then these terms, then the Terms of Service.

We send notices to the email address on your seat and, for billing, to the company's billing email. A notice counts as received when we send it. You send notices to us at the address under Contact.

You may not transfer your seat or the company's vendor account to anyone else. A seat is personal to one person. The vendor account belongs to the company. We may transfer these terms if we sell or reorganize the service, and we will tell you if we do.

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a term on one occasion, we may still enforce it later. Nothing in these terms makes you our agent, partner or employee, or us yours.
